Terms and Conditions of Event Participation
(eFootball™ eLiga BBVA MX 2024)

 

Konami Digital Entertainment, Inc., an Illinois corporation, with its principal business address at 14500 Aviation Boulevard, Hawthorne, CA 90250 (“Konami”, “we”, “us”, or “our”) appreciates your interest in Konami’s event entitled “eFootball™ eLiga BBVA MX 2024 (the “Event”).

By clicking the “agree” button, you confirm that you have thoroughly reviewed and agree to comply with these terms and conditions (“Terms”). If you do not agree to these Terms, you may not participate in the Event.

1.  Overview.

eFootball™ eLiga BBVA MX 2024, the Event, is the official eSports tournament for “eFootball™ 2024” (the “Game”). The Event consists of two categories, Mobile Category and Console (PlayStation4, PlayStation5, Xbox One and Xbox Series X/S) Category.  Mobile Category consists of five rounds, “1st Online Qualifier week One”, 1st Online Qualifier week Two”, “2nd Online Qualifier”, “3rd Online Qualifier”, and “eLiga BBVA MX 2024”.  Console Category consists of six rounds, “1st Online Qualifier week One”, “1st Online Qualifier week Two” “2nd Online Qualifier”, “3rd Online Qualifier”, “Playoff” and “eLiga BBVA MX 2024”.  1st Online Qualifier, 2nd Online Qualifier and 3rd Online Qualifier for Console Category have two SubCategories: PlayStation Category (PlayStation4 and PlayStation 5) and Xbox Category (Xbox One and Xbox Series X/S).  Participants who advance to Console Category’s Playoff and eLiga BBVA MX 2024 are required to play on “Xbox One and Xbox Series X/S”.

Details of the Event are available at eLigaMX.konami.com (incorporated herein by reference). 

1st Qualifier Week One (April 11 – 17, 2024)  

Participants must access the in-game event in the Game in order to participate. Participants will play against Artificial Intelligence (AI) using a team they create. Points will be awarded for certain game play per the standard Game rules. Participants who receive 1,000 points will have completed the challenge and will advance the 2nd Qualifier. There will be no extra time or penalty shootouts. 

1st Qualifier Week Two (April 18 – 24, 2024)  

Participants must access the in-game event in the Game in order to participate. Participants will play against Artificial Intelligence (AI) using a team they create. Points will be awarded for certain game play per the standard Game rules. Participants who receive 1,000 points will advance the 2nd Qualifier. There will be no extra time or penalty shootouts. 

If a participant receives points but does not complete the challenge, any such points accumulated during the 1st qualifier week 1 will not be carried over to 1st qualifier week 2. Players only have to complete the 1st Qualifier challenge once in order to advance to the 2nd Qualifier. 

2nd Qualifier (April 25 – May 1, 2024)

Participants who advance to the 2nd qualifier will play against another participant randomly chosen from all participants who advanced, using a team that they create. There are 2 challenges in the 2nd qualifier and each challenge’s rules are the same. Each challenge has 5 matches. The matches in the challenges will be the golden goal rule (the player who scores the first goal will win and the match will be over after the goal). In the event that the score remains 0-0 at the 90-minute mark then the match will go into extended time. If the score remains 0-0 after the expiration of the extended time, then it will move to penalty kick elimination to determine the match winner. The players who clear the two challenges will advance to the 3rd qualifier. There is no limitation for match quantities during the term of the 2nd qualifier. 

3rd Qualifier (May 3 – 5, 2024); 09:00 PDT –1:00: PDT only each day

Participants who advance to the 3rd qualifier will play against another participant randomly chosen from all participants who advanced. Participants must choose their choice of team from LigaMX clubs (one of 18 clubs) (each, a “Club”) which are pre-set in the game. Club abilities will be balanced so that no Club has advantage over others. The results of the last 15 matches (not the best 15 matches) will be used to determine a participant’s ranking. If the participant wins the match, they receive 3 points. If the match is a draw, each participant receives 1 point. If a participant loses, they receive 0 points. The maximum number of points a participant can receive is 45. For Mobile Category the highest ranked participant representing each Club will advance to eLiga BBVA MX event in Mexico, tentatively scheduled to take place June 8-9. For Console Category the highest ranked participant representing each Club on PlayStation Category and Xbox Category will advance to Playoff, scheduled to take place on May 26. If 2 or more participants are tied in any Club, the ranking will be calculated based on the following order: 1. Points, 2. Goal difference, 3. Total number of goals scored, 4. The date/time when the last 15th game was finished wherein the earlier finishing time will be favored. There will be no extra time or penalty shootouts. If, for whatever reason, the top ranking participant for a Club is unable to participate in the eLiga BBVA MX, they will be disqualified and the runner-up for that Club will advance. This process may be repeated until eligible players representing each Club have been confirmed. Subject to verification of eligibility and compliance with these Terms and Conditions of Event Participation.

Playoff(Console only) (tentatively scheduled for May 26, 2024; exact dates may change at our sole discretion)  

Participants must play as the Club that they previously played for the 3rd qualifier. Abilities will be balanced.  All participants must prepare the environment to play the playoff match with either a Xbox One or Xbox Series X/S device.  The top-ranking participants of the Qualifier Rounds on PlayStation Category and Xbox Category representing the same Club will play against each other online on Xbox One or Xbox Series X/S. The players who win two (2) games first will advance. There will be a maximum of three (3) matches. There will be extra time and penalty shootouts if needed to break a tie. Xbox One or Xbox Series X/S will be the exclusive Platform for Console Playoff round. If participants are unable to prepare an environment to play the playoff match with Xbox One / Xbox Series X/S, the participants will be eliminated.

eLiga BBVA MX 2024 (tentatively scheduled for June 8-9, 2024; exact dates may change at our sole discretion)

Day 1

Participants must play as the Club that they previously played for the 3rd qualifier and/or Playoff. Abilities will be balanced. There will not be extra time and penalty shootouts to break a tie. Teams represented by participants will form six (6) groups (each, “Group”), each consisting of 3 teams, using the online rankings of the 2nd Qualifier. Teams ranked No.1-6 will be ‘Pod A’, the teams ranked No.7-12 will be ‘Pod B’, and the teams ranked No.13-18 will be ‘Pod C’. Each Group will consist of 1 team from Pod A, 1 team from Pod B, and 1 team from Pod C, which will be selected by drawing. All teams in the same Group will play each other. The teams ranked No.1 in each Group and additional 2 teams selected from those teams ranked No.2 in each Group (in total 8 teams) will advance to Day 2. 

If needed to break a tie or to choose additional 2 teams, the following will be used in order of priority: 

1.  Points

2.  Goal difference

3.  Total number of goals scored                             

4.  Head-to-head match results

5.  If two (2) teams have the same score ⇨ The results of the head-to-head match between the two teams will be used to determine who will advance.

6.  If three (3) teams have the same score ⇨ Points, goal difference, and total number of goals scored of the applicable teams’ matches will determine who will advance.

7.  Drawing.            

Day 2

Participants must continue to play as the Club that they previously selected. This will be a knockout tournament between the remaining eight (8) teams. Abilities will be balanced. The teams that win two (2) games first will advance. There will be a maximum of three (3) matches. For these matches, there will be extra time and penalty shootouts if needed to break a tie. A 3rd place play-off will be held.

Equipment will be provided at eLiga BBVA MX 2024 and nobody will be allowed to use their own equipment other than the items Konami specifies within the rule book that will be delivered to participants before the event.

Travel and accommodations will be provided by Konami for all finalists. Exact details will be arranged with finalists following conclusion of the 3rd Qualifier (Mobile Category) or Playoff (Console Category). A parent or legal guardian will be required to accompany any minor finalist and be present at all times. Finalists will be responsible for all federal, state and local taxes associated with costs of travel and accommodations. 

Prizes for 1st, 2nd and 3rd place will be announced prior to the final round.

2.  Requirements for Participation.

(a)  If you are a minor under the laws of your country of residence (“Laws”) at the time you agree to these Terms, you must obtain consent from your parent(s) or legal guardian(s) (the “Legal Guardian”), as required under the Laws. By clicking the “agree” button, you affirm (i) that you have obtained consent from your Legal Guardian, or (ii) that your Legal Guardian acted on your behalf, to agree to these Terms.

(b)  You must own your own Game account to participate in the Event. This requires you to agree to the “Terms of Use (eFootball™ 2024)” available at https://legal.konami.com/games/efootball/2024/terms/tou/efootcs_tou_en-us.html and “Virtual Currency   Terms   of   Use   (eFootball™   2024)”   available   at https://legal.konami.com/games/efootball/2024/terms/vc/efoot_vc_en-us.html that apply to your use of the Game (“Game Terms”). 

(c)  The Event is open only to the players who are at least 13 years old and reside in the United States or Mexico. Those who are outside the United States or Mexico may not participate in the Event.

(d)  For Console Category, to advance to Playoff, you must have an environment to play the playoff match with Xbox One / Xbox Series X/S 

(e)  You must meet the requirements that we impose to advance to eLiga BBVA MX 2024.

(i)  To advance to eLiga BBVA MX:

(A)  you must be able to use “Discord”, an online messaging application, for us to contact you either directly or through our service provider(s) undertaking the Event management;

(B)  your username of the Game must not be [*user]; and

(C)  your username of the Game may not be changed after participating the Event. 

(ii)  To advance to the eLiga BBVA MX 2024, you will be required to enter into an agreement (“Agreement”) which sets forth, including but not limited to, the following.

(A)  Your grant of license to photograph and record your portrait, performance, game play, and voice in connection with the Event, and to use such photographed and recorded portrait and voice along with your name, user name, city and state of residence, nationality, avatar (including but not limited to, distributing video footages of the Event).

(B)  Your cooperation with our promotional activities related to eFootball™ series.

(C)  Your obligation to:

(1)  appear at the venue of the eLiga BBVA MX (Mexico) by the date separately specified by us, provided that the long-distance travel and accommodations and the fees thereof will be arranged and borne by us;

(2)  obtain necessary visa or other applicable travel documentation to participate in eLiga BBVA MX to be held in Mexico at your own expense by the date separately specified by us;

(3)  be accompanied by a guardian if you are under the age of 18.

The details of the foregoing will be further set forth in the Agreement.

(iii)  Konami may impose other requirements to the participants, including you, from to time to time at Konami’s sole discretion.

3.  Rules of Conduct.

In addition to other terms and conditions of these Terms, your participation to the Event is conditioned upon your compliance with rules of conduct set forth in this section. If you fail to comply with such rules, or if we reasonably determine that you may result in such a failure, we may terminate your right to participate in the Event or disqualify you.

(a)  You agree that you shall not:

(i)  Provide us with any false information.

(ii)  Publicly disclose any false information on the Event.

(iii)  Defame, abuse, harass, stalk, threaten, or otherwise violate the legal rights of Konami or any third party, including without limitation intellectual property rights and rights of privacy or publicity.

(iv)  Conduct any activities (A) for the purposes of achieving monetary gain of any kind in relation to the Event, or (B) that is against the law and/or public policy.

(v)  Conduct any activities that is not in compliance with any terms, conditions, regulations and/or any other rules that we impose in relation to your use of the Game and/or participation in the Event, including but not limited to, the Game Terms and these Terms. Such activities include the following.

(A)  Sharing the Game account with any third party or letting any third party use your Game account.

(B)  Intentionally or negligently causing any earlier termination of the Game match.

(C)  Attempting to gain for yourself or any third party any unfair advantage with respect to the use of the Game or participation in the Event.

(vi)  Conduct any other activities that may in any way restrict, inhibit, or interfere with, the operation

of the Event.

(b)  You agree that you shall follow our instructions at all times.

4.  Disclaimer of Warranties; Limitation of Liability.

To the maximum extent permitted by applicable law, Konami makes no guarantees or warranties of any kind, express or implied, regarding the Event; your participation to the Event is at your own risk; and Konami is not responsible for any matters, including but not limited to the following, provided that there is no intentional or grossly negligent act carried out by Konami.

(a)  The Event may be changed, temporarily suspended, or terminated, with or without notice, at Konami’s sole discretion.

(b)  Any disadvantages caused to you (including disqualification) by interruption, errors, defects, or any other difficulties in using the software or the server of the Game, any devices, applications, networks, or any other tools etc. that you use in relation to the Event.

(c)  Any disputes arising among you and any third party, including but not limited to, other participants of the Event.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER KONAMI NOR ANY OF ITS AFFILIATES, LICENSORS, SUPPLIERS, SERVICE PROVIDERS, ADVERTISERS, SPONSORS, OR AGENTS, NOR ANY

SUBSIDIARIES, AFFILIATED ENTITIES, OWNERS, SHAREHOLDERS, GENERAL AND LIMITED PARTNERS,

DIRECTORS, OFFICERS OR EMPLOYEES OF ANY OF THE FOREGOING ENTITIES SHALL BE LIABLE FOR ANY DIRECT, SPECIAL, INDIRECT, INCIDENTAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR ANY

DAMAGES RELATING TO LOSS OF USE, LOSS OF PROFITS, OR LOSS OF DATA, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING BUT NOT LIMITED TO NEGLIGENCE) OR OTHERWISE, ARISING OUT OF OR RELATING TO THE EVENT, OR ANY OTHER SUBJECT MATTER OF THESE TERMS.

5.  Severability.

If any provision of these Terms is found to be unlawful, void or for any reason unenforceable, that provision will be deemed severable from these Terms and will not affect the validity and enforceability of any remaining provision.

6.  Governing Law.

These Terms are governed by and shall be construed in accordance with the laws of California without giving effect to any choice of legal rule that would cause application of laws of any jurisdiction other than California. 

7.  Jurisdiction.

All disputes and controversies arising out of or in connection with these Terms shall be resolved exclusively by the court located in California, United States, and you hereto agree to submit to the jurisdiction of said court and agree that the venue shall lie exclusively with such courts.

8.  Language.

These Terms have been prepared in, and shall be construed in, the English language. Translated versions have been prepared for the convenience of users whose mother language is the relevant translation language; if there is any discrepancy in the meaning or interpretation between the English version and any translated version of the Terms, the meaning and interpretation of the Terms prepared in English shall prevail.

This Privacy Policy applies to information we collect through (a) the website located at www.konami.com/games/us/en/; (b) all related Konami-controlled websites (example: https://us-support.konami.com/); (c) our pages on social media websites such as Facebook and Twitter (the "Konami Social Media Pages"); and (d) our other online products or offerings. Collectively, the foregoing items (a) through (d) shall be referred to as the "Online Services". This Privacy Policy also applies to your personal information otherwise provided to Konami when you use our services or products. Please note that through our Konami Social Media Pages, we may collect personal information from you in accordance with this Privacy Policy; however, this Privacy Policy does not govern the collection, use or disclosure of your information by any third party, when the collection, use or disclosure takes place directly through that third party’s platform (e.g., web pages or apps hosted by Facebook and Twitter. 2. What types of personal information does Konami collect and how will it be used?

Konami may collect personal information about you when you use the Online Services or our products or services, or when you otherwise provide personal information to us. For example, we may obtain personal information through: (1) product registration; (2) purchases; (3) email correspondence with customer service; (4) the Konami Social Media Pages; (5) the Konami Judge Portal; (6) information submitted in an employment capacity (e.g., resumes); and/or (7) information submitted as part of a promotion (e.g., through your participation in online contests or sweepstakes). The types of information that may be requested for each activity and the way the information may be used are detailed below.

No matter what method we use to collect information and no matter how we use that information, we seek only to collect the information that we believe is reasonably necessary to fulfill your requests and our legitimate business objectives.

§ Product Registration

To register a Konami product online, you will be required to submit your first and last name, city, state/province, zip/postal code, country of residence, email address, date of birth, age and occupation. You may also be asked to provide your phone number and answer demographic questions relating to information about the product you purchased, the type of console you own, and the types of games you enjoy playing. The information that you submit during product registration will entitle you to limited warranty protection and technical support.

§ Purchases

If you purchase from us, we will collect your name, email address, phone number, shipping & billing address, and payment card information. We will use such information to complete your transaction and process returns and exchanges, as well as for related customer service.

§ Customer Support

Konami may collect, use and store personal information that you voluntarily submit to us via email or other means when interacting with Konami customer service. For example, we may provide on the Online Services a link through which a visitor can email to customer service addressing any issue a user encounters with a Konami product. Your email address and any personal information you choose to provide in the body of such email is used by Konami for purposes of addressing and responding to your question.

§ Konami Social Media Pages

You do not have to provide personal information to use the Konami Social Media Pages. However, in order for you to take advantage of particular opportunities provided through the Konami Social Media Pages (for example, promotions, events, or games), we may require that you furnish personal information. This information may include your name, postal address, telephone number, email address, Facebook and other social media IDs and the names of your friends, but only when you voluntarily provide it to us (either directly or indirectly, such as a result of your authorizing Facebook or another social media platform to send it to us). Konami also collects other information from the Konami Social Media Pages (such as your gender, social media networks, workplace, geographic location, application settings and statistics, status updates, user and interactions) when you voluntarily provide such information to us (either directly or indirectly, such as a result of your authorizing Facebook or another social media platform to submit such information to us).

§ Konami Judge Portal

Konami may collect, use and store personal information that you choose to provide when you use our Judge Portal for training, support and guidance, or to become certified and register as a judge. This information may include your name, contact information, username/password, Card Game ID, birthdate and languages spoken. We may use this information to fulfil your requests, communicate with you, and to certify, register and support you on your journey to becoming a judge.

§ Candidates for Employment

Konami may provide on the Online Services an email address that visitors can use to send us their resumes. We also may collect personal information offline about candidates for employment. Personal information about candidates will be used for the purpose of accepting and evaluating candidate submissions for job postings and may therefore be shared within our company. If the candidate becomes an employee, this information also may be used and retained for employment purposes.

Other than as explained in this paragraph, this Privacy Policy does not apply to personal information gathered concerning job applicants or candidates for employment.

§ Promotions

From time to time, we may offer you the opportunity to enter into Konami-sponsored promotions, such as contests or sweepstakes. We may offer these promotions online or offline. To participate in a promotion, you may be required to submit information, such as your first and last name, city, state/province, zip/postal code, country of residence, email address, date of birth, and age, so that we (or our partners) can administer the promotion. For example, we (or our partners) may use this information to determine whether you are eligible to participate in the promotion and/or to notify you in the event you are selected as a winner.

§ Passive Collection

As noted below, (see "Does Konami use cookies, track IP addresses or use other passive means to collect information?"), we use certain passive means to collect information regarding visitors’ use of the Online Services. We may use and disclose such information, as well as aggregated information or other non-personal information, for any purpose.

§ Other Uses of Personal Information

We may also use your personal information for our internal marketing and analytics purposes, so we can constantly improve our products and services and better meet your needs.

Cross-Border Transfer

Your personal information may be stored and processed in any country in which we engage service providers, and by using the Online Services, you understand that your information will be transferred to countries outside your country of residence, including the United States, which may have different data protection rules than in your country.

4. Does Konami use cookies, track IP addresses or use other passive means to collect information?

Cookies

Konami may collect information through cookies to improve your use of the Online Services. A "cookie" is a small string of text sent by the Online Services to your browser and then stored by your browser on your computer's hard drive. Storage of cookies on your system provides an easy and convenient method for us to personalize and enhance your experience on the Online Services, and to help us diagnose problems with our servers and to administer the Online Services. For example, cookies allow us to remember your screen name and date of birth, tell us that you have visited the Online Services before, track your usage of the Online Services, and make your next visit to the Online Services more enjoyable. Most web browsers automatically accept cookies, but you can always disable cookies or set your browser to alert you when cookies are being sent to your computer. However, rejecting cookies may prevent you from taking advantage of certain portions of the Online Services.

Third Party Cookies

We and our third-party service providers may use cookies and similar technologies to manage and optimize our Internet business and communications, such as for marketing purposes, to help us deliver advertisements, to measure the effectiveness of our advertising, and to understand how visitors use the Online Services. These technologies may collect users’ browsing and other traffic activity; the date and time of visit; and product codes and pricing information for purchased merchandise. This information helps us learn things like what pages are most attractive to our visitors, which of our products or Online Services most interest our customers, and what kinds of offers our customers like to see. Although our third-party service providers log the information coming from the Online Services on our behalf, we control how that information may be used. We use Google Analytics, which uses cookies and similar technologies to collect and analyze information about use of our websites and report on activities and trends. This service may also collect information regarding the use of other websites, apps, and online resources. IP Addresses

While you are browsing the Online Services, Konami automatically collects your IP address, a number that is used to identify your computer when you log on to the Internet.

Log Files

Konami collects information in the form of log files that record activity on the Online Services, including how many "hits" a particular web page is getting (also known as "click data"). For example, log file entries are generated every time a visitor clicks an image on the Online Services. These entries enable Konami to assess overall site activity, track interest in particular portions of the Online Services, troubleshoot technical concerns, and identify the type of browser you are using. We may also use the log file entries for our internal marketing and demographic studies, so we can constantly improve the products and services we provide you.

Do-Not-Track Signals

Note that your browser settings may allow you to automatically transmit a "Do Not Track" signal to websites and online services you visit. There is no consensus among industry participants as to what "Do Not Track" means in this context. Like many websites and online services, we currently do not alter our practices when we receive a "Do Not Track" signal from a visitor's browser.

5. With whom does Konami share my personal information?

Except as expressly provided in this Privacy Policy, Konami's policy is to not sell or rent your personal information to third parties.

Konami may share your personal information with its parent, subsidiary, and/or affiliate companies (https://www.konami.com/corporate/en/subsidiaries/) for the purposes described in this Privacy Policy, including to allow them to send you information about their own products and services. Konami Digital Entertainment, Inc. is the party responsible for the management of this jointly-used information.

From time to time, Konami may share your personal information with its third-party service providers and/or licensors, to enable them to provide services in connection with the operation, maintenance and/or support of the Online Services. Such services may include, without limitation, message board operation, email delivery, product registration, storage, website hosting, data analysis, payment processing, order fulfillment, infrastructure provision, IT support, customer support, credit card processing and web site auditing.

By using our Online Services, you may elect to disclose personal information, such as on message boards, chats, profile pages, blogs, and other services to which you are able to post information and content (including, without limitation, our Konami Social Media Pages). Please note that any information you post or disclose through these services will become public and may be available to other users and the general public.

We may use and disclose the information we maintain, including personal information, (a) when required to do so by law, including laws outside your country of residence; (b) to comply with legal process; (c) to respond to requests from a law enforcement agency or public or government authority, including outside your country of residence; (d) to enforce our terms and conditions; (e) to protect the rights, property, or safety of Konami, our customers, users of the Online Services or others; and (f) to allow us to pursue available remedies or limit the damages that we may sustain.

In addition, Konami may disclose personal information and other information we obtain from you to a third party in the event and/or consideration of a reorganization, merger, sale, joint venture, assignment, transfer, or other disposition of all or any portion of our business, assets, or stock.

6. What is Konami's policy regarding Children?

Konami does not permit users under 13 years of age (“Children”) to become registered users of the Online Services. We do not knowingly collect personal information from Children through the Online Services if such collection would require parental consent under applicable law.
